OLNIN PRIVATE LIMITED
MEMBERSHIP AGREEMENT Fairway Junction Premium Co-Working, Executive Workspace & Business Facilities
This Membership Agreement (“Agreement”) is entered into between:
OLNIN PRIVATE LIMITED, a company incorporated under the applicable laws of Pakistan, having its principal business address at Fairways Commercial DHA Phase 6 CP 63 and CP 118(“OLNIN”, “Company”, “we”, “us” or “our”); and
Member / Legal Entity:
(“Member”, “you” or “your”). OLNIN and the Member may individually be referred to as a “Party” and collectively as the “Parties”.
1. PURPOSE AND NATURE OF MEMBERSHIP
1.1 OLNIN operates a premium coworking and business workspace environment offering shared workplaces, dedicated desks, cubicle workspaces, executive private offices, team workspaces, corporate suites, meeting facilities, boardrooms, event facilities and related business-support services.
1.2 This Agreement establishes the general contractual terms governing the Member's access to and use of the OLNIN facilities and services.
1.3 The specific commercial arrangement applicable to the Member shall be recorded in the applicable Package Schedule, Membership Order Form, quotation, invoice, booking confirmation or other written commercial document issued or accepted by OLNIN (“Package Schedule”).
1.4 The Package Schedule forms an integral part of this Agreement.
1.5 Membership provides a contractual right to use the applicable OLNIN facilities and services in accordance with the selected Package, this Agreement and the applicable OLNIN policies.
1.6 Unless expressly agreed otherwise in writing, Membership does not constitute a lease, tenancy, transfer of title, ownership interest, exclusive possessory interest or other interest in real property.
2. DEFINITIONS
For purposes of this Agreement:
“Authorized User” An individual authorized by a Member to use the applicable Membership facilities and services.
“Boardroom” The designated OLNIN board meeting/conference facility available for Member and standalone bookings.
“Complimentary Allowance” A specified amount of facility usage included within a Membership Package at no additional charge, subject to the applicable limits and policies.
“Facility” Any workspace, office, meeting room, boardroom, lounge, common area, rooftop, event area, parking area or other facility made available by OLNIN.
“Guest / Visitor” A person entering OLNIN premises in accordance with applicable visitor and access procedures who does not independently hold Membership rights.
“Membership” The contractual arrangement between OLNIN and the Member established under this Agreement and the applicable Package Schedule.
“Membership Fee” The recurring fee payable by the Member for the selected Package.
“Package” The particular OLNIN workspace or Membership arrangement selected by the Member.
“Package Schedule” The document identifying the Member's selected Package, pricing, term, deposit, inclusions and other applicable commercial terms.
“Policies” The OLNIN Membership & Facility Policies and any applicable facility-specific rules issued by OLNIN.
“Services” The facilities, workspace, support services, add-ons, meeting facilities and other services made available by OLNIN.
3. MEMBERSHIP APPLICATION AND ACCEPTANCE
3.1 Membership is subject to OLNIN's acceptance of the Member's application.
3.2 OLNIN may require identification, registration information, corporate documents, authorized-user information and other reasonable information before activating Membership.
3.3 OLNIN may decline an application where permitted by applicable law and without being required to disclose confidential internal reasons.
3.4 Membership becomes effective on the commencement date stated in the applicable Package Schedule or otherwise confirmed by OLNIN in writing.
3.5 The Member represents that all information supplied to OLNIN is accurate, complete and current.
3.6 The Member must promptly notify OLNIN of any material change to its registration, contact, billing or authorized-user information.
4. PACKAGE AND MEMBERSHIP RIGHTS
4.1 The Member shall be entitled to use only those facilities and Services included in the selected Package or subsequently purchased as Add-On Services.
4.2 Package inclusions, capacity, pricing, minimum commitment, deposit and complimentary allowances shall be specified in the applicable Package Schedule.
4.3 OLNIN may establish reasonable operating hours, booking procedures, access controls, security requirements and facility-use restrictions.
4.4 Membership rights are personal to the Member and may not be sold, assigned, transferred, sublicensed or shared with another person except where expressly permitted by OLNIN.
4.5 Corporate Members may nominate Authorized Users in accordance with OLNIN's procedures.
4.6 OLNIN may reasonably adjust seating, workspace allocation or facility configuration where operational requirements, maintenance, safety, security or business continuity require such adjustment, provided that OLNIN will use reasonable efforts to provide an equivalent or appropriate alternative where applicable.
5. MEMBERSHIP TERM AND RENEWAL
5.1 The Membership term shall be stated in the Package Schedule.
5.2 Where a Package is offered on a monthly basis, the Membership shall continue on a month-to-month basis after the applicable minimum commitment unless terminated in accordance with this Agreement.
5.3 A minimum commitment, where specified, remains binding even if the Member ceases to use the facilities during that period.
5.4 The Member may request renewal or continuation subject to OLNIN's then-current commercial terms.
5.5 OLNIN may revise pricing for renewal periods by providing reasonable advance notice.
6. MEMBERSHIP CANCELLATION
6.1 Unless a different period is specified in the Package Schedule, a monthly Membership requires 30 days' prior written notice of cancellation.
6.2 The notice period does not eliminate amounts already due or otherwise payable under the Agreement.
6.3 Where a Package contains a minimum commitment, cancellation does not ordinarily terminate the Member's financial obligations before expiry of that minimum commitment unless OLNIN agrees otherwise in writing.
6.4 The PKR 3,000 one-time setup fee is non-refundable.
6.5 Cancellation requests should be submitted through the Member's registered email address, Member Portal, written notice or another method accepted by OLNIN.
7. MEMBERSHIP FEES AND PAYMENT
7.1 Membership Fees are payable in advance in accordance with the applicable Package Schedule and invoice.
7.2 The applicable payment due date shall be stated in the Package Schedule or invoice.
7.3 Membership Fees are exclusive of applicable taxes unless expressly stated otherwise.
7.4 The Member is responsible for all applicable taxes, government charges and other legally applicable amounts relating to the Membership or Services.
7.5 OLNIN may require payment by bank transfer, card, digital payment, online payment system or another approved method.
7.6 A payment is considered received when cleared and available to OLNIN.
7.7 The Member may not withhold, deduct or set off amounts due to OLNIN against any alleged claim unless expressly permitted by applicable law or agreed by OLNIN in writing.
8. LATE PAYMENT
8.1 A three (3) calendar-day grace period shall apply following the applicable Membership payment due date.
8.2 If payment remains outstanding after the grace period:
Premium Shared Workplace, Dedicated Desk, Premium Dedicated Desk and Premium Cubicle Desk:
- PKR 500 per calendar day;
- Executive Private Office — Standard and Premium Executive Private Office: PKR 1,000 per calendar day;
- Team Workspace: as specified in the applicable Package Schedule or commercial agreement;
- Corporate Suite: as specified in the applicable Corporate Suite agreement or quotation.
8.3 The Late Payment Fee shall continue until the overdue amount is paid, subject to applicable law.
8.4 A Member who communicates with OLNIN and cooperates in resolving the overdue amount may request an extended payment arrangement. Any extension or waiver must be approved by OLNIN in writing.
8.5 Continued non-payment may result in suspension of access, restriction of Services, termination of Membership and recovery of outstanding amounts in accordance with this Agreement and applicable law.
9. SECURITY DEPOSIT
9.1 Where a security deposit is required, the amount shall be stated in the applicable Package Schedule.
9.2 The security deposit is held as security and does not constitute advance Membership Fees.
9.3 OLNIN may apply all or part of the security deposit against properly chargeable amounts, including:
- unpaid Membership Fees;
- unpaid Add-On Services;
- damage to facilities, furniture or equipment;
- loss of OLNIN property;
- unreturned access cards, keys or credentials;
- cleaning or restoration costs arising from Member-caused damage or misuse;
- other amounts properly payable by the Member under this Agreement.
9.4 The Member remains liable for any amount exceeding the security deposit.
9.5 The security deposit shall not automatically be treated as payment of the final month's Membership Fee unless OLNIN agrees otherwise in writing.
9.6 Following termination or expiry, surrender of the applicable workspace and completion of the final account and inspection, any remaining refundable balance shall be returned within thirty (30) days, subject to applicable deductions.
9.7 If no deductible amount is outstanding, the full refundable deposit shall be returned.
10. ACCESS, SECURITY AND CREDENTIALS
10.1 Access to OLNIN premises is subject to OLNIN's access-control and security procedures.
10.2 Access cards, digital credentials, keys, passwords and other access mechanisms are personal and must not be shared.
10.3 The Member is responsible for safeguarding its credentials.
10.4 Lost, stolen or compromised access credentials must be reported to OLNIN immediately.
10.5 OLNIN may deactivate or replace access credentials for security, administrative, payment, termination or policy reasons.
10.6 OLNIN may use security personnel, access-control systems, CCTV, surveillance systems and other reasonable security measures.
10.7 CCTV and security systems are operated for security, safety, incident investigation and facility-management purposes in accordance with applicable law and OLNIN's Privacy Policy.
11. AUTHORIZED USERS AND GUESTS
11.1 A Member may authorize users only in accordance with the selected Package.
11.2 The Member is responsible for the conduct and compliance of its Authorized Users and Guests.
11.3 Guests may be required to register with reception or security.
11.4 OLNIN may restrict Guest access where required for security, capacity, privacy, operational or other legitimate reasons.
11.5 A Guest does not acquire Membership rights merely by being invited by a Member.
11.6 The Member must not permit unauthorized persons to use its workspace, access credentials or Membership benefits.
12. WORKSPACE AND FACILITY USE
12.1 Facilities must be used professionally, responsibly and only for lawful purposes.
12.2 Members must comply with reasonable instructions from OLNIN management and staff.
12.3 Members must not:
- engage in unlawful activities;
- create unreasonable noise or disruption;
- threaten, harass or intimidate others;
- damage OLNIN property;
- interfere with security systems;
- misuse access credentials;
- engage in activities creating unreasonable safety risks;
- store prohibited or dangerous materials;
- conduct activities inconsistent with the professional nature of the premises;
- interfere with another Member's use of the Facilities.
12.4 OLNIN may establish additional reasonable facility rules through its Policies.
12.5 The Member shall maintain its workspace in a clean and orderly condition.
13. PRIVATE OFFICES
13.1 Private Office Members may use the allocated office for the approved Membership term and capacity stated in the Package Schedule.
13.2 Office capacity must not be exceeded without OLNIN's prior approval.
13.3 The Member shall not make structural changes, install fixtures, alter walls, electrical systems, cabling or other infrastructure without prior written approval.
13.4 Any approved alteration shall be performed in accordance with OLNIN's requirements.
13.5 The Member is responsible for damage caused by itself, its Authorized Users, Guests, contractors or representatives.
13.6 At the end of the Membership, the office must be returned in substantially the condition in which it was provided, subject to reasonable wear and tear.
14. TEAM WORKSPACE AND CORPORATE SUITE
14.1 Team Workspace and Corporate Suite arrangements may be customized according to the Member's requirements.
14.2 Specific configuration, capacity, pricing, services, customization, branding, furniture and other commercial terms shall be documented in the applicable proposal, quotation, Package Schedule or separate agreement.
14.3 Where a Corporate Suite occupies a substantial dedicated area, additional terms may apply.
14.4 Corporate Members are responsible for ensuring that all Authorized Users comply with this Agreement and applicable Policies.
15. MEETING ROOMS AND BOARDROOM
15.1 Meeting Rooms and the Boardroom are available to Members according to their Package and applicable booking procedures.
15.2 Complimentary facility allowances are monthly and non-cumulative.
15.3 Unused complimentary hours:
- do not roll over;
- cannot be transferred;
- cannot be exchanged for cash;
- cannot be credited against Membership Fees;
- and expire at the end of the applicable month.
15.4 All facility bookings are subject to availability.
15.5 Members may purchase additional facility time at the applicable rates.
15.6 Standalone facility bookings by Non-Members require advance payment.
16. BOOKING CANCELLATION AND NO-SHOW
16.1 Unless different terms are specified for a particular service, the following cancellation framework applies to paid Meeting Room and Boardroom bookings: 72 hours or more before booking: No cancellation charge.
Less than 72 hours but at least 48 hours before booking: 25% of the applicable booking value.
Less than 48 hours before booking: 50% of the applicable booking value.
No-show: 100% of the applicable booking value.
16.2 Where a Member uses Complimentary Allowance hours, a late cancellation or no- show may result in the applicable reserved hours being treated as consumed rather than a cash charge.
16.3 OLNIN may establish different cancellation terms for events, special bookings or customized arrangements.
17. EVENTS AND ROOFTOP FACILITIES
17.1 Seminars, conferences, corporate events, private events and rooftop events require prior approval and booking.
17.2 Events are subject to availability, capacity, safety requirements and OLNIN approval.
17.3 Event pricing, deposits, security deposits, staffing, catering, equipment, setup, cancellation and other requirements shall be specified in the applicable proposal, quotation, booking confirmation or Event Agreement.
17.4 The Member is responsible for the conduct of its attendees, guests, vendors, contractors and representatives.
17.5 OLNIN may refuse or discontinue an event where safety, security, legality, property protection or other legitimate concerns arise.
18. OPTIONAL ADD-ON SERVICES
18.1 Add-On Services may include:
- lockers;
- parking access;
- parking cards/access credentials;
- valet parking;
- additional Meeting Room hours;
- additional Boardroom hours;
- additional storage;
- additional printing/scanning;
- dedicated internet;
- additional access cards;
- mail/courier services;
- Secretarial Support;
- Concierge Services;
- and other services offered by OLNIN.
18.2 Add-On Services are subject to availability.
18.3 Where pricing is not stated, OLNIN may provide a customized quotation.
18.4 Add-On Services may have separate terms.
19. SECRETARIAL AND CONCIERGE SERVICES
19.1 Secretarial Support and Concierge Services are optional services available to Members subject to availability.
19.2 Secretarial Support may include document preparation, typing, printing, scanning, scheduling, correspondence, meeting preparation, administrative assistance and other agreed services.
19.3 Concierge Services may include reservations, transportation coordination, courier coordination, visitor assistance, vendor coordination, event arrangements and other reasonable coordination services.
19.4 OLNIN does not guarantee the performance, availability, quality, pricing, conduct, reliability or outcome of independent third-party providers.
19.5 Where OLNIN coordinates a third-party service, the Member remains responsible for applicable third-party charges unless expressly stated otherwise in writing.
20. PARKING
20.1 Parking is subject to availability and applicable parking arrangements.
20.2 Parking access does not guarantee a permanently reserved parking space unless expressly stated in writing.
20.3 Parking cards, access credentials and valet services may be subject to separate charges.
20.4 The Member is responsible for complying with applicable parking and vehicle rules.
20.5 OLNIN is not responsible for loss or damage to a vehicle or its contents except to the extent liability cannot lawfully be excluded.
21. LOCKERS AND STORAGE
21.1 Lockers may be available at PKR 3,000 per month, subject to availability.
21.2 Lockers are for lawful and appropriate business/personal items only.
21.3 Prohibited, dangerous, illegal, perishable or hazardous materials may not be stored.
21.4 OLNIN may inspect, restrict or terminate locker access where reasonably required for safety, security or legal compliance.
21.5 Members must remove their belongings upon termination.
22. MEMBER PROPERTY AND DAMAGE
22.1 Members remain responsible for their own property.
22.2 Members should not leave valuables unattended.
22.3 The Member is responsible for damage or loss caused by its acts or omissions or those of its Authorized Users, Guests, contractors or representatives, subject to applicable law.
22.4 OLNIN may recover reasonable repair, replacement, cleaning or restoration costs attributable to the Member.
22.5 The Member should maintain appropriate insurance for its property, business operations, employees, visitors and other risks where appropriate.
23. INTERNET, TECHNOLOGY AND CRM / MEMBER
PORTAL 23.1 OLNIN may provide internet, Wi-Fi, CRM, Member Portal, booking systems and other technology services.
23.2 Technology services may occasionally be unavailable because of maintenance, upgrades, technical failure, third-party interruption or circumstances beyond OLNIN's reasonable control.
23.3 Members are responsible for maintaining secure passwords and account credentials.
23.4 Members must not attempt unauthorized access to OLNIN systems or another Member's data.
23.5 The Member remains responsible for the security and backup of its own business data.
23.6 Use of the Member Portal and CRM is subject to applicable Portal Terms and Privacy Policy.
24. CONFIDENTIALITY AND PRIVACY
24.1 Each Party shall take reasonable steps to protect confidential information received from the other Party.
24.2 The Member acknowledges that OLNIN may process personal and business information for Membership administration, security, access management, billing, communication, bookings, CRM operation and other legitimate business purposes.
24.3 Personal information shall be handled in accordance with OLNIN's applicable Privacy Policy and applicable law.
24.4 Members must respect the confidentiality and privacy of other Members and must not improperly access, record, disclose or use another Member's confidential information.
25. SECURITY, CCTV AND SURVEILLANCE
25.1 OLNIN may operate CCTV, access-control, visitor-management and other security systems.
25.2 Security systems may monitor common areas, entrances, exits, corridors, parking areas and other appropriate locations.
25.3 Surveillance shall not ordinarily be conducted in areas where individuals reasonably expect privacy.
25.4 Security recordings may be retained, reviewed or disclosed where reasonably necessary for security, investigation, legal compliance, dispute resolution or protection of persons or property, subject to applicable law.
26. SUSPENSION OF ACCESS
26.1 OLNIN may suspend some or all Membership access where reasonably necessary due to:
- material non-payment;
- serious breach of this Agreement;
- security concerns;
- unlawful conduct;
- misuse of Facilities;
- threat to persons or property;
- misuse of access credentials;
- serious disruption;
- safety concerns;
- or other circumstances permitted under the Agreement or applicable law.
26.2 Where reasonably practicable, OLNIN will provide notice before suspension.
26.3 Suspension does not automatically eliminate amounts already due.
27. DEFAULT AND TERMINATION
27.1 A Member may be considered in default where it materially breaches this Agreement or fails to pay amounts due.
27.2 Where appropriate, OLNIN may provide notice and an opportunity to remedy the breach.
27.3 If a Member fails to pay and becomes completely unresponsive, OLNIN may take further action following reasonable attempts to contact the Member.
27.4 Where the Member remains unpaid and unresponsive for seven (7) consecutive days following expiry of the three-day grace period, OLNIN may issue a Final Notice of Default and proceed toward suspension and/or termination in accordance with this Agreement and applicable law.
27.5 If a Member is communicating and cooperating, OLNIN may, at its discretion, agree to an extended payment arrangement.
27.6 Termination does not release the Member from amounts accrued before termination or other obligations that survive termination.
28. SURRENDER OF FACILITIES AND ACCESS
CREDENTIALS 28.1 Upon expiry or termination, the Member must:
- vacate the applicable workspace;
- remove personal property;
- return keys;
- return access cards;
- return other OLNIN property;
- discontinue use of OLNIN facilities;
- and settle outstanding amounts.
28.2 Any remaining property shall be handled in accordance with the applicable OLNIN policy and applicable law.
28.3 OLNIN may recover reasonable costs associated with storage, removal or restoration where legally recoverable.
29. LIMITATION OF LIABILITY
29.1 To the maximum extent permitted by applicable law, OLNIN shall not be liable for indirect, incidental, consequential, special or business-interruption losses arising from the Member's use of the Facilities or Services.
29.2 OLNIN does not guarantee uninterrupted availability of Facilities, internet services, utilities, technology systems, third-party services or other Services.
29.3 OLNIN is not responsible for loss, theft or damage to Member property except to the extent caused by circumstances for which OLNIN is legally responsible.
29.4 Nothing in this Agreement excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
29.5 Nothing in this Agreement is intended to deprive a Member of any mandatory statutory right or remedy that cannot legally be excluded.
30. MEMBER INDEMNITY
30.1 To the extent permitted by applicable law, the Member shall be responsible for losses, claims, damages, costs or expenses arising from:
- the Member's breach of this Agreement;
- unlawful conduct by the Member;
- damage caused by the Member;
- misuse of OLNIN facilities;
- acts or omissions of the Member's Authorized Users, Guests, contractors or representatives;
- or infringement of another person's rights by the Member.
30.2 The Member shall not be responsible for losses caused solely by OLNIN's own unlawful conduct or liability that cannot legally be transferred.
31. INSURANCE
31.1 OLNIN does not provide insurance for the Member's business, employees, equipment, inventory, documents, vehicles or personal property.
31.2 Members are encouraged to maintain appropriate insurance according to the nature of their business and activities.
31.3 Corporate Members are responsible for ensuring that their employees, contractors and operations are appropriately insured where required.
32. COMPLIANCE WITH LAW
32.1 The Member shall comply with all applicable laws, regulations, licenses, permits and professional requirements relevant to its activities.
32.2 OLNIN does not provide legal, tax, accounting, regulatory or professional advice merely by providing workspace or business facilities.
32.3 The Member is responsible for obtaining and maintaining any licenses, registrations, permits or approvals required for its business.
33. MEMBERSHIP POLICIES
33.1 The Member agrees to comply with the OLNIN Membership & Facility Policies, as amended from time to time in accordance with this Agreement.
33.2 Such Policies may cover:
- access and entry;
- guest and visitor management;
- workspace conduct;
- meeting-room use;
- Boardroom use;
- parking;
- lockers;
- technology;
- security;
- events;
- health and safety;
- cleanliness;
- prohibited activities;
- property;
- complaints;
- other facility matters.
33.3 The Policies form part of the contractual framework governing use of OLNIN Facilities.
33.4 Where there is a direct conflict between this Agreement and an operational Policy, this Agreement shall prevail unless the applicable Package Schedule expressly provides otherwise.
34. INTELLECTUAL PROPERTY AND BRAND
34.1 OLNIN retains all rights in its name, branding, trademarks, logos, materials, systems and intellectual property.
34.2 The Member may not use OLNIN's name, logo or branding for commercial purposes without prior written approval.
34.3 Nothing in the Membership creates ownership rights in OLNIN's intellectual property.
35. FORCE MAJEURE
35.1 OLNIN shall not be liable for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, fire, flood, severe weather, governmental action, civil disturbance, utility failure, major technical failure, epidemic/pandemic events, security incidents, labour disruption or other comparable circumstances.
35.2 OLNIN will use reasonable efforts to restore affected Services when practicable.
36. NOTICES AND COMMUNICATIONS
36.1 Notices under this Agreement may be delivered by:
- registered email;
- Member Portal;
- written notice;
- courier;
- registered post;
- or another agreed communication method.
36.2 The Member must maintain accurate contact information.
36.3 Notices sent to the Member's registered email address or other registered contact method may be treated as properly delivered in accordance with applicable law.
37. ASSIGNMENT
37.1 The Member may not assign or transfer this Agreement or Membership rights without OLNIN's prior written approval.
37.2 OLNIN may assign or transfer its rights and obligations to an affiliate, successor, purchaser or other lawful successor in connection with its business, subject to applicable law.
38. AMENDMENTS
38.1 Amendments to the commercial terms of the Member's Package shall generally be documented in writing.
38.2 OLNIN may update operational Policies from time to time where reasonably necessary for security, safety, technology, administration, compliance or efficient operation.
38.3 Material changes affecting Members' contractual rights shall be communicated in accordance with applicable law and this Agreement.
39. SEVERABILITY
If any provision of this Agreement is found to be invalid, unlawful or unenforceable, that provision shall be limited or severed to the extent necessary, and the remaining provisions shall continue to the fullest extent permitted by law.
40. NO WAIVER
Failure by OLNIN to enforce a provision on one occasion shall not constitute a waiver of its right to enforce that provision or any other provision in the future.
41. ENTIRE AGREEMENT
41.1 This Agreement, the applicable Package Schedule, applicable Policies and any applicable quotation, booking confirmation or supplementary agreement constitute the contractual framework between the Parties concerning the relevant Membership and Services.
41.2 They supersede prior discussions or representations concerning the same subject matter to the extent permitted by applicable law.
41.3 The Member acknowledges that it has not relied on any representation not expressly incorporated into the contractual documents.
42. GOVERNING LAW AND DISPUTE RESOLUTION
42.1 This Agreement shall be governed by the applicable laws of Pakistan.
42.2 The Parties shall first attempt in good faith to resolve any dispute through direct discussion and management-level communication.
42.3 If the dispute cannot be resolved amicably, the Parties may pursue the remedies available under applicable Pakistani law and through the competent courts or other dispute-resolution mechanism expressly specified in the applicable Package Schedule.
43. ELECTRONIC ACCEPTANCE
43.1 The Member may accept this Agreement by physical signature, electronic signature, digital acceptance, authenticated online acceptance or another method permitted by OLNIN.
43.2 Electronic acceptance shall have the same contractual effect as physical acceptance to the extent permitted by applicable law.
43.3 The Member acknowledges that electronic records may be maintained as evidence of Membership and transactions.
44. MEMBER ACKNOWLEDGEMENT
By signing or electronically accepting this Agreement, the Member confirms that:
- it has read and understood this Agreement;
- it has had an opportunity to ask questions;
- it understands the applicable Package and pricing;
- it agrees to comply with OLNIN's Membership & Facility Policies;
- it understands that complimentary facility allowances expire monthly and do not roll over;
- it understands the payment and late-payment provisions;
- it understands the applicable cancellation and minimum-commitment requirements;
- it understands that security deposits are subject to final reconciliation;
- it accepts the applicable Facility and access rules;
- and it agrees to be bound by this Agreement and the applicable Package Schedule.
