OLNIN PRIVATE LIMITED MEMBER PORTAL & CRM TERMS OF USE Version: 1.0 These Member Portal & CRM Terms of Use (“Portal Terms”) govern access to and use of the member portal, CRM and workspace management platform operated by OLNIN Private Limited (“OLNIN”, “we”, “us” or “our”). The Platform is designed to connect OLNIN Members and Authorized Users with membership, workspace, bookings, billing, support, services, communications and related operational functions. These Portal Terms operate together with the Membership Agreement, Membership & Facility Policies, applicable Membership Package, Add-On Services Terms, Boardroom & Meeting Room Booking Terms, Event & Rooftop Booking Terms, Privacy Policy, Disclaimers, Legal Notices and other applicable OLNIN agreements and policies.
1. PURPOSE OF THE PORTAL
The OLNIN Member Portal/CRM (“Platform”) provides an electronic environment through which eligible Members and Authorized Users may access certain OLNIN services and information. Depending on the Member's status, package and permissions, the Platform may provide access to:
- membership information;
- workspace information;
- space and facility bookings;
- meeting-room bookings;
- service requests;
- billing and invoices;
- payment-related information;
- support requests;
- documents;
- messages;
- notifications;
- profile information;
- communications with OLNIN;
- and other functions introduced by OLNIN from time to time.
The specific functions available to a particular user may vary according to membership type, authorization level, technical configuration and OLNIN's operational requirements.
2. LEAD, APPLICANT AND MEMBER STATUS
A person or organization does not become a Member merely by:
- contacting OLNIN;
- submitting an inquiry;
- becoming a lead;
- requesting information;
- receiving a proposal;
- selecting a package;
- accepting or acknowledging a proposal;
- or expressing an intention to become a Member.
OLNIN retains the right to conduct its applicable assessment, verification and approval process before granting Membership.
3. MEMBERSHIP APPROVAL AND DUE DILIGENCE
Before activating a Membership, OLNIN may require completion of appropriate due diligence and verification procedures. These may include verification of:
- identity documents;
- company or organizational documents;
- supporting information;
- Authorized User information;
- contact information;
- business information;
- payment information;
- references or other supporting documentation where reasonably required;
- and other information required by OLNIN for legitimate operational, security, contractual, legal or compliance purposes.
OLNIN may request additional documentation or clarification where reasonably necessary.
4. MEMBERSHIP ACTIVATION
Membership becomes effective only after OLNIN has completed the applicable approval process and formally activates the Membership. Unless expressly confirmed otherwise in writing: Acceptance of a proposal or selection of a Membership Package does not by itself constitute final Membership approval or activation. OLNIN may approve, defer, reject or condition an application in accordance with its applicable procedures, policies and applicable law.
5. PAYMENT CLEARANCE
Where payment is required before activation, the relevant payment must be successfully received or cleared before Membership activation. OLNIN may delay activation until:
- required documents have been verified;
- required payments have cleared;
- required agreements have been accepted or executed;
- and other applicable onboarding requirements have been completed.
6. PORTAL ACCESS ELIGIBILITY
Portal access is generally available only to:
- an approved and activated Member;
- an approved Company Admin;
- an Authorized User;
- or another person expressly authorized by OLNIN.
A lead, applicant or prospective Member does not automatically have the right to access the Member Portal.
7. ACCOUNT CREATION
Upon activation, OLNIN may create or authorize creation of a Platform account. The account may include:
- username;
- email address;
- password;
- authentication credentials;
- access permissions;
- Member profile;
- company information;
- and other account information.
The information provided must be accurate, current and complete.
8. USERNAME AND PASSWORD
Users are responsible for maintaining the confidentiality of their login credentials. A user must not:
- share their password;
- permit unauthorized persons to use their account;
- disclose authentication credentials;
- attempt to obtain another person's credentials;
- use another person's account without authorization;
- or permit another person to access restricted Platform functions through their account.
9. UNAUTHORIZED ACCESS
A user must immediately notify OLNIN if they reasonably suspect:
- unauthorized access;
- loss or theft of credentials;
- compromised password;
- suspicious activity;
- unauthorized booking;
- unauthorized account changes;
- or another security incident.
OLNIN may temporarily suspend an account where reasonably necessary to protect:
- the Member;
- other Members;
- OLNIN;
- the Platform;
- information;
- facilities;
- or system security.
10. MEMBER ACCOUNT RESPONSIBILITY
The Member is responsible for activities carried out through its account to the extent attributable to the Member, its Authorized Users or failure to maintain appropriate account security. A Corporate Member is responsible for ensuring that its Company Admin and Authorized Users use the Platform only within the permissions granted to them.
11. COMPANY ADMIN
Where applicable, a Corporate Member may designate a Company Admin. A Company Admin may receive additional access relating to the Member's organization and authorized team. The Company Admin may be permitted to:
- manage Authorized Users;
- view company-related information;
- manage applicable bookings;
- access applicable billing information;
- submit service requests;
- access relevant documents;
- and perform other functions permitted by OLNIN.
The precise permissions depend on the Platform configuration and the Member's authorization level.
12. AUTHORIZED USERS
An Authorized User is an individual authorized by a Member to use applicable OLNIN facilities, services or Platform functions. The Member is responsible for ensuring that its Authorized Users:
- provide accurate information;
- protect their credentials;
- comply with OLNIN policies;
- use the Platform appropriately;
- and do not exceed their authorization.
OLNIN may require verification or approval before an Authorized User is activated.
13. ROLE-BASED ACCESS
The Platform uses role-based permissions. The Platform may provide different access levels for administrative and operational roles and for Members and Company Admins. A user has no right to access information or functions outside their authorized role.
14. MEMBER INFORMATION
Members may be able to view or manage information relating to:
- Membership;
- bookings;
- billing;
- support requests;
- documents;
- services;
- profile information;
- and other information made available through their account.
A Member must promptly notify OLNIN of material inaccuracies in its information.
15. BOOKINGS THROUGH THE PLATFORM
Where booking functionality is enabled, Members may use the Platform to request or make bookings for applicable:
- meeting rooms;
- Boardroom;
- workspace;
- desks;
- offices;
- other bookable facilities;
- or services.
A booking made through the Platform remains subject to the applicable Booking Terms and availability. A Platform interface showing an available time or space does not override OLNIN's right to correct an obvious system error or operational conflict.
16. BOOKING CONFIRMATION
A booking request does not necessarily constitute a confirmed booking. A booking may require:
- system confirmation;
- staff approval;
- payment;
- availability verification;
- or other applicable requirements.
The confirmation displayed through the Platform or separately issued by OLNIN will determine whether the booking has been confirmed.
17. CANCELLATION AND NO-SHOW
Bookings made through the Platform remain subject to the applicable cancellation, rescheduling and no-show rules. The Platform does not override those rules. Where a booking is cancelled too late or a Member fails to attend, applicable charges may remain payable.
18. BILLING AND INVOICES
The Platform may provide Members with access to:
- invoices;
- recurring billing information;
- payment records;
- outstanding amounts;
- service charges;
- Membership charges;
- and other billing information.
19. BILLING RECORDS
Platform billing information is provided for convenience and administrative purposes. Where there is an apparent discrepancy between Platform information and an official invoice or written account statement issued by OLNIN, the official OLNIN record may be relied upon, subject to correction of genuine errors. Members should promptly report billing discrepancies.
20. PAYMENT OBLIGATIONS
Use of the Platform does not alter the Member's contractual obligation to pay amounts due under:
- the Membership Agreement;
- Membership Package;
- Add-On Services;
- facility bookings;
- event bookings;
- or other applicable arrangements. Failure to pay may result in: late charges;
- suspension of services;
- suspension of bookings;
- restriction of Platform access;
- Membership suspension;
- or termination, in accordance with the applicable contractual terms.
21. SUPPORT REQUESTS
The Platform may allow Members to submit support tickets or service requests. Submission of a support request does not guarantee:
- immediate response;
- resolution within a particular timeframe;
- or a particular outcome, unless OLNIN has expressly committed to a specific service level.
22. SERVICE REQUESTS
Members may use the Platform to request applicable services, including certain Add-On Services. Such requests remain subject to:
- availability;
- applicable charges;
- staff capacity;
- third-party availability;
- applicable Add-On Services Terms;
- and OLNIN's approval where required.
23. DOCUMENTS
The Platform may permit Members to access or download documents such as:
- Membership Agreements;
- invoices;
- notices;
- service records;
- and other documents made available by OLNIN.
Members are responsible for retaining copies of important documents where appropriate.
24. ELECTRONIC COMMUNICATIONS
The Platform may facilitate:
- messages;
- notifications;
- service communications;
- booking confirmations;
- billing notices;
- operational notices;
- and other communications.
Electronic communications may constitute valid business communications where permitted by applicable law and the relevant agreement.
25. NOTIFICATIONS
Members may receive notifications concerning:
- bookings;
- billing;
- payments;
- support requests;
- operational matters;
- maintenance;
- service availability;
- Membership status;
- and other relevant matters.
Members are responsible for maintaining current contact information and reviewing important notifications.
26. SYSTEM AVAILABILITY
OLNIN will use reasonable efforts to maintain the Platform but does not guarantee that it will always be:
- available;
- uninterrupted;
- error-free;
- secure from every possible threat;
- compatible with every device;
- or free of technical defects. The Platform may occasionally be unavailable because of: maintenance;
- updates;
- technical failures;
- connectivity problems;
- hosting issues;
- cybersecurity incidents;
- third-party services;
- power or infrastructure failures;
- or circumstances beyond OLNIN's reasonable control.
27. NO GUARANTEE OF REAL-TIME ACCURACY
Certain Platform information may be generated or updated automatically. OLNIN does not guarantee that every item of information will update instantaneously. This may include:
- availability;
- bookings;
- billing;
- support status;
- notifications;
- occupancy;
- service status;
- or other operational information.
Members should contact OLNIN where confirmation is required for a material transaction or booking.
28. TECHNICAL MAINTENANCE
OLNIN may modify, update, maintain or temporarily suspend portions of the Platform. OLNIN may introduce:
- new features;
- revised interfaces;
- security improvements;
- workflow changes;
- system integrations;
- or removal or modification of features.
OLNIN does not guarantee that every existing feature will remain permanently available.
29. THIRD-PARTY SERVICES AND INTEGRATIONS
The Platform may rely on third-party technologies, hosting providers, payment services, communication systems or other integrations. OLNIN does not guarantee the continuous availability or performance of independent third-party services. Where a third-party service is used, that provider's applicable terms may also apply.
30. ACCESS-SYSTEM INTEGRATION
Where the Platform is integrated with physical access-control systems, access credentials may be linked to:
- Membership status;
- Authorized User status;
- booking status;
- security requirements;
- or other operational conditions.
OLNIN may deactivate or restrict access credentials where reasonably necessary.
31. ACCEPTABLE USE
Members must use the Platform only for legitimate business and Membership purposes. Users must not:
- misuse the Platform;
- interfere with its operation;
- attempt unauthorized access;
- circumvent security controls;
- introduce malicious code;
- scrape or extract data without authorization;
- impersonate another user;
- upload unlawful content;
- use the Platform for fraud;
- interfere with another Member's account;
- or use the Platform in violation of applicable law.
32. PROHIBITED TECHNICAL ACTIVITIES
Without limitation, users must not attempt to:
- reverse engineer the Platform;
- penetrate security systems;
- scan or attack the Platform;
- bypass authentication;
- introduce malware;
- overload system resources;
- exploit vulnerabilities without authorization;
- or access administrative functions without authorization.
Any suspected security vulnerability should be reported responsibly to OLNIN.
33. MEMBER CONTENT
Members may submit information, documents, messages or other materials through the Platform. The Member remains responsible for ensuring that submitted material:
- is accurate;
- is lawful;
- does not infringe third-party rights;
- does not contain malicious code;
- and is appropriate for the intended purpose.
34. DOCUMENT AND DATA OWNERSHIP
Subject to applicable law and contractual rights, Members retain their rights in their own documents and information. OLNIN retains its rights in:
- the Platform;
- software;
- system design;
- interfaces;
- workflows;
- databases;
- trademarks;
- branding;
- proprietary processes;
- and other intellectual property owned or licensed by OLNIN.
35. PLATFORM INTELLECTUAL PROPERTY
Nothing in these Portal Terms grants a Member ownership of the Platform or its underlying technology. Members receive only the limited right to use the Platform for authorized purposes during the applicable period of access.
36. DATA PROCESSING AND PRIVACY
OLNIN may process personal information obtained through the Platform in accordance with its Privacy Policy and applicable law. The Platform may process information relating to:
- Members;
- Authorized Users;
- Company Admins;
- bookings;
- billing;
- support requests;
- communications;
- documents;
- access;
- security;
- and operational activity.
The Privacy Policy governs the broader treatment of personal information.
37. MEMBER RESPONSIBILITY FOR DATA
Members are responsible for ensuring that personal information submitted through the Platform is provided lawfully and appropriately. A Corporate Member must ensure that it has appropriate authority to provide information relating to its employees, representatives or Authorized Users.
38. DATA SECURITY
OLNIN may implement reasonable technical and organizational safeguards designed to protect Platform information. However, no electronic system can be guaranteed to be completely secure. Accordingly, OLNIN does not warrant that unauthorized access, cyberattacks, data loss or other security incidents can never occur. Nothing in these Portal Terms excludes liability that cannot lawfully be excluded.
39. ACCOUNT SUSPENSION
OLNIN may suspend or restrict Platform access where reasonably necessary because of:
- overdue payments;
- Membership suspension;
- suspected unauthorized access;
- security concerns;
- violation of these Portal Terms;
- violation of the Membership Agreement;
- misuse of the Platform;
- unlawful conduct;
- inaccurate or fraudulent information;
- or other legitimate operational or legal reasons.
40. ACCOUNT TERMINATION
Platform access may terminate when:
- Membership expires;
- Membership is terminated;
- the user's authorization is withdrawn;
- the Company Admin removes an Authorized User;
- the account is terminated for breach;
- or OLNIN otherwise has a contractual or lawful basis for termination.
Termination of access does not eliminate obligations that accrued before termination.
41. RETENTION OF RECORDS
Following termination, OLNIN may retain certain records where reasonably necessary for:
- legal compliance;
- accounting;
- taxation;
- contractual enforcement;
- dispute resolution;
- security;
- fraud prevention;
- legitimate business records;
- or other lawful purposes.
Retention and deletion will be subject to applicable law and the Privacy Policy.
42. MEMBER PORTAL ACCESS IS NOT A PROPERTY
RIGHT Access to the Platform is a contractual service associated with Membership or authorized use. It does not create any ownership interest in:
- OLNIN;
- the Platform;
- OLNIN's software;
- OLNIN's database;
- the premises;
- or any OLNIN technology.
43. NO PROFESSIONAL ADVICE
Information displayed through the Platform is not necessarily:
- legal advice;
- accounting advice;
- tax advice;
- financial advice;
- investment advice;
- medical advice;
- or other professional advice.
Members should obtain appropriate professional advice where required.
44. NO RELIANCE ON SYSTEM INFORMATION
Members should not rely exclusively on automatically generated Platform information where a material decision depends upon its accuracy. Where necessary, Members should obtain written confirmation from OLNIN.
45. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, OLNIN shall not be liable for indirect, incidental, special, consequential or punitive losses arising from use of or inability to use the Platform, including losses arising from:
- temporary system interruption;
- technical errors;
- connectivity problems;
- third-party service interruptions;
- unauthorized access despite reasonable safeguards;
- loss of data;
- inaccurate user-submitted information;
- missed notifications;
- or Member misuse of the Platform.
Nothing in these Portal Terms excludes or limits liability that cannot legally be excluded or limited.
46. MEMBER INDEMNIFICATION
To the extent permitted by applicable law, the Member shall be responsible for reasonable claims, losses, damages, costs or expenses arising from:
- misuse of the Platform;
- violation of these Portal Terms;
- unauthorized use of the Member's account;
- unlawful content submitted by the Member;
- infringement of third-party rights;
- or breach of applicable Membership obligations.
47. THIRD-PARTY CONTENT
Where the Platform displays information supplied by third parties, OLNIN does not necessarily endorse or guarantee that information. Third-party content may be subject to separate terms.
48. CHANGES TO THE PLATFORM
OLNIN may modify, improve, replace or discontinue Platform features where reasonably necessary. Changes may be made for:
- operational improvement;
- security;
- technology;
- Member requirements;
- legal compliance;
- integration changes;
- or business reasons.
49. EMERGENCY OR SECURITY ACTION
OLNIN may immediately restrict Platform access where reasonably necessary to address:
- cybersecurity threats;
- unauthorized access;
- fraud;
- serious misuse;
- threats to Members;
- threats to OLNIN;
- operational emergencies;
- or other serious security concerns.
50. ELECTRONIC ACCEPTANCE
Where permitted by applicable law, acceptance of these Portal Terms electronically, including through a checkbox, electronic confirmation, account activation or other approved mechanism, may constitute acceptance of these Terms.
51. RELATIONSHIP WITH OTHER OLNIN DOCUMENTS
These Portal Terms do not replace the Member's other contractual obligations. The following documents may apply simultaneously:
- Master Membership Agreement;
- Membership & Facility Policies;
- Membership Package terms;
- Add-On Services Terms;
- Boardroom & Meeting Room Booking Terms;
- Event & Rooftop Booking Terms;
- Privacy Policy;
- Website Terms of Use;
- Disclaimers;
- Legal Notices;
- and specific quotations, proposals or agreements.
Where a specific written agreement expressly addresses the same subject differently, the specific agreement will generally govern that particular matter.
52. NO AUTOMATIC MEMBERSHIP RIGHTS
Portal access does not itself create or expand Membership rights. A Member may use only those:
- facilities;
- services;
- booking rights;
- complimentary allowances;
- Add-On Services;
- and permissions applicable to its Membership Package or separately approved arrangement.
53. NO GUARANTEE OF AVAILABILITY
The existence of a feature within the Platform does not guarantee that the underlying facility or service will always be available. For example, the ability to request a meeting room does not guarantee that the requested room will be available at the requested time. All bookings remain subject to applicable availability and booking rules.
54. COMMUNICATION RECORDS
OLNIN may retain appropriate records of:
- booking requests;
- service requests;
- messages;
- notifications;
- account activity;
- invoices;
- payments;
- support tickets;
- and other Platform transactions, subject to applicable law and the Privacy Policy.
Such records may be used for legitimate business, operational, contractual, accounting, security or dispute-resolution purposes.
55. SYSTEM RECORDS AND AUDIT TRAILS
The Platform may automatically record certain activities for security, operational and administrative purposes. These records may include:
- login activity;
- account changes;
- bookings;
- cancellations;
- service requests;
- billing actions;
- administrative changes;
- and other relevant system events.
56. DISPUTES
Any dispute relating specifically to Platform use will be addressed in accordance with the dispute-resolution provisions of the applicable Master Membership Agreement or other governing agreement. Nothing in these Portal Terms prevents OLNIN from taking immediate action reasonably necessary to protect its systems, premises, Members or property.
57. GOVERNING LAW
These Portal Terms shall be interpreted in accordance with the applicable governing law specified in the Master Membership Agreement and applicable laws of Pakistan.
58. SEVERABILITY
If any provision of these Portal Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
59. NO WAIVER
Failure by OLNIN to enforce any provision immediately does not constitute a waiver of its right to enforce that provision later.
60. ENTIRE PORTAL TERMS
These Portal Terms constitute the principal terms governing use of the OLNIN Member Portal/ CRM, subject to the other agreements and policies incorporated by reference.
61. UPDATES TO THESE TERMS
OLNIN may update these Portal Terms from time to time.
The updated version may be published through the Platform or otherwise communicated to Members. Where legally required, OLNIN will provide appropriate notice of material changes.

MEMBER ACKNOWLEDGEMENT By activating or using an OLNIN Member Portal/CRM account, the user acknowledges that:
- Portal access is conditional upon authorization;
- becoming a lead or applicant does not automatically create Membership;
- Membership requires OLNIN approval and completion of applicable requirements;
- required identification and supporting documentation may be requested;
- required payments must be cleared before activation where applicable;
- access is limited according to the user's role and permissions;
- the user is responsible for protecting login credentials;
- bookings remain subject to availability and applicable booking rules;
- Platform information may occasionally be delayed or inaccurate due to technical or operational reasons;
- OLNIN may suspend access for legitimate security, contractual or operational reasons;
- the Platform may depend on third-party technologies;
- no electronic system can be guaranteed to be completely secure or continuously available;
- and use of the Platform constitutes acceptance of these Portal Terms where legally permitted.
